Terms of Service

PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING OUR SERVICES.

These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "You," "Your," "Client") and Code Matrixz Private Limited (" Code Matrixz," "Company," "We," "Us," "Our") governing your access to and use of our website, applications, products and services (collectively, the "Services").

BY ACCESSING OR USING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD and AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE OUR SERVICES.

1. Definitions

For purposes of this Agreement:

  • "Services" means all products, software, applications, platforms, websites, APIs and professional services provided by Code Matrixz.
  • "User Content" means any data, information, materials, or content submitted, uploaded, or transmitted by you through the Services.
  • "Intellectual Property" includes patents, trademarks, service marks, copyrights, trade secrets, know-how and other proprietary rights.
  • "Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or should reasonably be understood to be confidential.
  • "Agreement Term" means the period during which these Terms remain in effect.
  • "Business Days" means Monday through Friday, excluding public holidays in India.

2. Acceptance of Terms

By accessing or using our Services, you represent and warrant that:

  • You are at least 18 years of age or the age of majority in your jurisdiction
  • You have the legal capacity and authority to enter into this Agreement
  • If representing an organization, you have authority to bind that entity to these Terms
  • Your use of the Services complies with all applicable laws and regulations
  • All registration information you submit is accurate, current and complete

3. Description of Services

Code Matrixz provides comprehensive technology solutions including, but not limited to:

3.1 Software Development Services

  • Custom software application development
  • Web and mobile application development
  • Enterprise software solutions
  • API development and integration
  • Software maintenance and support

3.2 Cloud Services

  • Cloud infrastructure management and optimization
  • Multi-cloud strategy and implementation
  • Cloud migration services
  • DevOps and CI/CD implementation
  • Cloud security and compliance

3.3 Artificial Intelligence & Machine Learning

  • AI/ML model development and deployment
  • Natural language processing solutions
  • Computer vision applications
  • Predictive analytics
  • AI integration and consulting

3.4 Consulting Services

  • Technology strategy and roadmap development
  • Digital transformation consulting
  • Architecture design and review
  • Security assessments and audits
  • Technical training and workshops

Service specifications, deliverables, timelines and pricing are detailed in individual Service Agreements, Statements of Work (SOW), or Order Forms executed between you and Code Matrixz.

4. Account Registration and Security

4.1 Account Creation

To access certain Services, you must create an account by providing accurate, complete and current information. You agree to:

  • Provide true, accurate, current and complete information as prompted
  • Maintain and promptly update your account information
  • Not create an account using false identity or information
  • Not create accounts for others without authorization
  • Not have more than one account without express permission

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Use strong passwords and enable multi-factor authentication where available
  • Not share your password or account access with third parties
  • Immediately notify us of any unauthorized access or security breach
  • Log out from your account at the end of each session

Code Matrixz is not liable for any loss or damage arising from your failure to maintain account security.

5. User Obligations and Acceptable Use

5.1 Compliance with Laws

You agree to use our Services in compliance with all applicable international, federal, state and local laws and regulations, including but not limited to:

  • Data protection and privacy laws (GDPR, CCPA, DPDP Act 2023)
  • Export control and sanctions laws
  • Intellectual property laws
  • Anti-corruption and anti-bribery laws
  • Consumer protection regulations

5.2 Prohibited Activities

You agree NOT to:

  • Violate any applicable laws, regulations, or third-party rights
  • Transmit viruses, malware, or other malicious code
  • Attempt to gain unauthorized access to our systems or networks
  • Interfere with or disrupt the Services or servers
  • Engage in any form of data mining, scraping, or extraction without authorization
  • Reverse engineer, decompile, or disassemble any aspect of the Services
  • Use the Services for illegal purposes, including fraud or money laundering
  • Impersonate any person or entity or misrepresent affiliation
  • Harass, abuse, threaten, or harm others
  • Transmit spam, chain letters, or unsolicited communications
  • Infringe upon intellectual property rights of Code Matrixz or third parties
  • Use automated systems (bots, scripts) without express written permission
  • Resell, sublicense, or redistribute our Services without authorization

⚠️ VIOLATION WARNING: Violation of these Acceptable Use provisions may result in immediate suspension or termination of your account and Services without refund and may expose you to civil and criminal liability.

6. Intellectual Property Rights

6.1 Code Matrixz Intellectual Property

All content, features, functionality, software, source code, algorithms, designs, graphics, user interfaces, trademarks, service marks, logos and other intellectual property made available through the Services (" Code Matrixz IP") are owned by or licensed to Code Matrixz and are protected by international copyright, trademark, patent, trade secret and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for authorized purposes during the Agreement Term. This license does not include any rights to:

  • Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, or create derivative works from Code Matrixz IP
  • Reverse engineer, decompile, or disassemble any software or technology
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices
  • Use Code Matrixz trademarks or branding without prior written consent

6.2 User Content

You retain ownership of any intellectual property rights in User Content. By submitting User Content through the Services, you grant Code Matrixz a worldwide, non-exclusive, royalty-free, sublicensable and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute and display such content solely for the purpose of providing and improving the Services.

You represent and warrant that:

  • You own or have necessary rights to all User Content
  • User Content does not infringe third-party intellectual property rights
  • User Content complies with all applicable laws and these Terms

6.3 Feedback

If you provide feedback, suggestions, or recommendations regarding the Services ("Feedback"), you grant Code Matrixz an unrestricted, perpetual, irrevocable, royalty-free license to use such Feedback for any purpose without compensation or attribution.

7. Payment Terms and Billing

7.1 Fees and Charges

Fees for Services are specified in the applicable Service Agreement, SOW, or Order Form. All fees are exclusive of applicable taxes unless otherwise stated. Payment terms include:

  • Subscription Services: Billed monthly or annually in advance
  • Project-Based Services: As per milestone payment schedule in SOW
  • Consulting Services: Time and materials or fixed-fee as specified
  • Usage-Based Services: Billed monthly based on actual consumption

7.2 Payment Methods

We accept the following payment methods:

  • Credit/Debit Cards (Visa, MasterCard, American Express)
  • Bank Transfers (Wire Transfer, ACH, NEFT, RTGS, IMPS)
  • PayPal and other digital payment platforms
  • Purchase Orders (for enterprise accounts with approved credit)

7.3 Invoicing and Payment Terms

  • Invoices are issued in accordance with the payment schedule
  • Payment is due within 30 days of invoice date unless otherwise specified
  • Late payments accrue interest at 1.5% per month (18% annually) or the maximum allowed by law
  • Code Matrixz reserves the right to suspend Services for accounts with overdue payments

7.4 Taxes

All fees are exclusive of applicable taxes, duties and levies including but not limited to GST, VAT, sales tax, withholding tax and service tax. You are responsible for paying all such taxes except those based on Code Matrixz' net income. If you are required by law to withhold taxes, you must provide valid tax documentation.

7.5 Price Changes

Code Matrixz reserves the right to modify pricing with 30 days' prior written notice. Price changes will not affect existing contracts or pre-paid Services but will apply to renewals and new purchases.

7.6 Refund Policy

  • Subscription Services: No refunds for partial months; cancellation effective at end of billing period
  • Project-Based Services: Refunds determined based on work completed per SOW
  • Consulting Services: Billed for time incurred; unused prepaid hours may be refunded
  • Setup/Implementation Fees: Generally non-refundable once work commences

8. Service Level Agreement (SLA)

8.1 Availability Commitment

Code Matrixz commits to the following service availability targets:

Professional 99.5% 3.6 hours
Standard 99.0% 7.2 hours

8.2 Support Response Times

Priority Level Description Response Time
Critical (P1) Service completely unavailable 1 hour (24/7)
High (P2) Major functionality impaired 4 hours (business hours)
Medium (P3) Minor functionality issues 1 business day
Low (P4) General inquiries 2 business days

8.3 Exclusions

SLA commitments do not apply to downtime caused by:

  • Scheduled maintenance (with advance notice)
  • Force majeure events
  • Issues with your infrastructure, internet, or third-party services
  • Your breach of these Terms
  • Actions or inactions by you or your users

9. Data Protection and Privacy

Our collection, use and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our data practices as described in the Privacy Policy.

9.1 Data Processing

Where Code Matrixz processes personal data on your behalf, we act as a data processor and you act as the data controller. We will process such data only in accordance with your documented instructions and applicable data protection laws.

9.2 Data Security

Code Matrixz implements appropriate technical and organizational measures to protect data against unauthorized access, loss, or destruction. However, no system is completely secure and we cannot guarantee absolute security.

9.3 Data Retention

We retain your data for as long as necessary to provide Services and as required by law. Upon termination, we will delete or return your data as specified in the applicable Service Agreement.

10. Confidentiality

10.1 Confidential Information

Each party agrees to maintain the confidentiality of the other party's Confidential Information and to use such information solely for purposes of performing under this Agreement. Confidential Information includes:

  • Technical data, source code, algorithms and specifications
  • Business plans, strategies and financial information
  • Customer lists and business relationships
  • Trade secrets and proprietary information

10.2 Exceptions

Confidential Information does not include information that:

  • Is or becomes publicly available without breach of this Agreement
  • Was rightfully known prior to disclosure
  • Is independently developed without use of Confidential Information
  • Is rightfully received from a third party without confidentiality obligations

10.3 Required Disclosure

If compelled by law to disclose Confidential Information, the receiving party will provide prompt notice to allow the disclosing party to seek protective measures.

11. Warranties and Disclaimers

11.1 Limited Warranty

Code Matrixz warrants that Services will be performed in a professional and workmanlike manner consistent with industry standards. Custom-developed software will substantially conform to specifications in the applicable SOW for 90 days from delivery.

11.2 Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED IN SECTION 11.1, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

Code Matrixz DISCLAIMS ALL WARRANTIES INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE and NON-INFRINGEMENT
  • WARRANTIES REGARDING ACCURACY, RELIABILITY, AVAILABILITY, OR TIMELINESS
  • WARRANTIES THAT SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
  • WARRANTIES REGARDING RESULTS OBTAINED FROM USE OF SERVICES

12. Limitation of Liability

12.1 Consequential Damages Exclusion

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL Code Matrixz, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or information
  • Business interruption
  • Loss of goodwill or reputation
  • Cost of procurement of substitute goods or services

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY) AND EVEN IF Code Matrixz HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.2 Liability Cap

Code Matrixz' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF:

The limitations in this section do not apply to:

  • Your payment obligations
  • Your indemnification obligations
  • Your breach of intellectual property rights
  • Your violation of applicable laws
  • Matters that cannot be excluded or limited by applicable law

13. Indemnification

13.1 Your Indemnification

You agree to indemnify, defend and hold harmless Code Matrixz and its officers, directors, employees, agents and affiliates from and against any claims, liabilities, damages, losses, costs and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of the Services
  • Your violation of these Terms
  • Your violation of any law or regulation
  • Your User Content or activities
  • Your infringement of third-party rights
  • Your negligence or willful misconduct

13.2 Code Matrixz Indemnification

Code Matrixz will indemnify you against third-party claims that the Services infringe valid intellectual property rights, provided you:

  • Promptly notify Code Matrixz of the claim
  • Grant Code Matrixz sole control of defense and settlement
  • Provide reasonable assistance in the defense

Code Matrixz may, at its option: (i) obtain rights for continued use, (ii) replace or modify the Services to be non-infringing, or (iii) terminate the Services and refund prepaid fees.

14. Term and Termination

14.1 Agreement Term

These Terms commence when you first access the Services and continue until terminated as provided herein. Service-specific terms are specified in individual agreements.

14.2 Termination by You

You may terminate this Agreement by:

  • Ceasing all use of the Services
  • Closing your account through account settings or contacting support
  • Providing written notice in accordance with the applicable Service Agreement

14.3 Termination by Code Matrixz

We may suspend or terminate your access to Services immediately without notice if:

  • You breach any provision of these Terms
  • Your account is 30 days past due
  • Your use poses security or legal risks
  • You engage in fraudulent or illegal activities
  • Required by law or regulatory authority

14.4 Effect of Termination

Upon termination:

  • All licenses granted to you immediately terminate
  • You must cease all use of the Services
  • You remain liable for all fees incurred prior to termination
  • Sections relating to ownership, indemnification, limitations of liability and dispute resolution survive termination

14.5 Data Retrieval

You have 30 days from termination to retrieve your data. After this period, we may delete all data without further notice. Expedited data retrieval may incur additional fees.

15. Dispute Resolution

15.1 Informal Resolution

Before initiating formal proceedings, parties agree to attempt good-faith negotiation for 30 days by providing written notice describing the dispute.

15.2 Arbitration

Any dispute not resolved through negotiation shall be settled by binding arbitration conducted under the rules of the Indian Arbitration and Conciliation Act, 1996, or the International Chamber of Commerce (ICC) for international disputes.

Arbitration Terms:

  • Seat of Arbitration: Bangalore, India (domestic); Singapore (international)
  • Language: English
  • Number of Arbitrators: One (claims under $100,000) or Three (claims over $100,000)
  • Costs: Each party bears its own costs unless arbitrator awards otherwise

15.3 Class Action Waiver

YOU AND Code Matrixz AGREE THAT DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY AND NOT AS A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION. NEITHER PARTY MAY ACT AS A CLASS REPRESENTATIVE OR PARTICIPATE AS A MEMBER OF A CLASS.

15.4 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or breach of confidentiality obligations.

16. Governing Law and Jurisdiction

16.1 Governing Law

  • For users in India: Laws of India, excluding conflict of law provisions
  • For users in the EU/UK: Laws of Ireland/England respectively
  • For users in the US: Laws of the State of Delaware
  • For other jurisdictions: Laws of India

16.2 Jurisdiction

Subject to arbitration provisions, exclusive jurisdiction lies with courts in Bangalore, India (or applicable jurisdiction based on your location).

17. General Provisions

17.1 Assignment

You may not assign or transfer your rights or obligations without Code Matrixz' prior written consent. Code Matrixz may assign this Agreement without restriction.

17.2 Force Majeure

Neither party is liable for failure to perform due to causes beyond reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet/telecommunications failures.

17.3 Notices

Notices must be in writing and sent to:

  • Email: legal@ Code Matrixz.com (for legal notices)
  • Physical Address: As specified in Section 18

17.4 Entire Agreement

These Terms, together with the Privacy Policy and any Service Agreements, constitute the entire agreement and supersede all prior agreements and understandings.

17.5 Amendments

Code Matrixz may modify these Terms at any time. Material changes will be notified via email or prominent website notice 30 days before taking effect. Continued use after changes constitutes acceptance.

17.6 Severability

If any provision is found invalid or unenforceable, the remaining provisions continue in full force and effect.

17.7 Waiver

Failure to enforce any right or provision does not constitute a waiver of such right or provision.

17.8 Independent Contractors

The parties are independent contractors. Nothing creates a partnership, joint venture, agency, or employment relationship.

17.9 Third-Party Beneficiaries

These Terms do not create rights for any third party.

17.10 Language

In case of translation, the English version prevails.

Acknowledgment: By clicking "I Accept," creating an account, or using our Services, you acknowledge that you have read, understood and agree to be bound by these Terms of Service and our Privacy Policy.
